  Chairman's Statement 2002 was a very successful year for the Group. Profit before tax of £27.4m represents a 36% increase on 2001 and is our ninth successive year of profit growth. The Board is pleased to recommend a final dividend of 15.1 pence per share (2001 ­ 12.9 pence per share), giving a total for the year of 21.4 pence per share (2001 ­ 18.6 pence per share). This is a 15% increase from 2001.

Bob Speirs, Chairman (66)
Formerly Group Finance Director with The Royal Bank of Scotland, he joined the Board in July 1999. He is Chairman of Stagecoach and Bell Group and a Non-Executive Director of a number of other companies including Canary Wharf and MacFarlance Group.

Keith Miller, Group Chief Executive (54)
Joined the Group in 1975. He was appointed a director in 1976 and Group Chief Executive in 1994. He is also a director of Aberforth Smaller Companies Trust.

John Richards, Finance Director (45)
Joined the Group in 1987. He was appointed to the Board in 1994 as Finance Director. Prior to this appointment he was a director of Miller Homes and Miller Developments. He is a Non-Executive Director of Transport for Edinburgh, the company responsible for delivering the City of Edinburgh Council’s integrated transport policy.

Phil Miller, Chief Executive, Miller Developments (46)
Joined the Group in 1989 and was appointed a director in 1997. He is responsible for Miller Developments and Miller Ventures.

Hew Balfour, Non-Executive (51)
Appointed a Non-Executive Director in 1996. He is Chief Executive of Havelock Europa.

Malcolm Gourlay, Non-Executive (60)
Appointed a Non-Executive Director in 1997. He is Chairman of Paladin Resources, Deputy Chairman of Bibby Line Group and a Non-Executive Director of Martin Currie Limited and a number of other companies. He is a Chartered Accountant and is Chairman of the Audit and Remuneration Committees.

Andrew Huntley, Non-Executive (64)
Appointed a Non-Executive Director in September 2002. He is a Non-Executive Director of Pillar Property plc and Chairman of the Investment Committees of Unit Trusts for Pillar/Hercules and City of London Property Unit Trust. He is also a Director of the Charities Official Investment Fund and Atlantic Fund Management.

Tim Hough, Chief Executive Miller Homes (45)
Joined the Group in September 2002, as director responsible for Miller Homes.
